These Terms of Service ("Terms") are a legal agreement between you and Hometria LLC ("Myhometria.com," "we," "us," or "our") governing your access to and use of the Myhometria.com mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Myhometria.com is an online marketplace that connects individuals seeking care services ("Clients") with independent care providers ("Providers") for the purpose of finding, scheduling, and paying for care sessions. Myhometria.com is a platform provider only. Providers are independent contractors and are not employees, agents, or representatives of Myhometria.com. Myhometria.com does not itself provide care services and is not a party to the care arrangement between a Client and a Provider.

2. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to create an account.

• You agree to provide accurate, current, and complete information and to keep it updated.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• Providers must successfully complete a background check through our third-party partner, Checkr, Inc., and may be required to maintain eligibility on an ongoing basis. We may suspend or remove a Provider account based on background check results or safety concerns, in our reasonable discretion.

3. Bookings, Scheduling, and Cancellations

• Clients may search, filter, and message Providers, and request bookings through the Service's scheduling tools, including optional device calendar sync.

• Providers set and manage their own availability and may accept or decline booking requests.

• Cancellation terms (including any applicable cancellation windows or fees) will be presented at the time of booking and are incorporated into these Terms.

• Myhometria.com is not responsible for a Provider's failure to show up, a Client's failure to be present, or the quality of care delivered during a session.

4. Payments, Fees, and Payouts

• All payments are processed through Stripe Connect. By using paid features of the Service, you agree to Stripe's terms of service and privacy policy.

• Myhometria.com charges an application/service fee on bookings, as disclosed in the app prior to checkout. Fees are subject to change with notice.

• Providers are paid out via Stripe Connect according to our payout schedule, less applicable fees.

• Refunds for canceled or disputed sessions are handled according to the cancellation policy presented at booking and, where applicable, in our discretion to resolve disputes fairly.

• You are responsible for any taxes arising from your use of the Service, including a Provider's obligation to report and pay applicable income taxes on amounts earned.

5. In-App Communication and Location Sharing

The Service provides asynchronous messaging between Clients and Providers and, during an active session, may share each party's location with the other for safety and coordination. You agree to use messaging and location features only for legitimate purposes related to a booking and not to harass, threaten, or misuse another user's information.

6. Reviews and Conduct

• After a session, Clients and Providers may rate and review one another. Reviews must be honest, accurate, and based on firsthand experience.

• You agree not to: (a) post false, defamatory, or harassing content; (b) discriminate against any user on the basis of a protected characteristic; (c) attempt to circumvent the Service to transact outside the platform in order to avoid fees; (d) use the Service for any unlawful purpose; or (e) interfere with the security or proper functioning of the Service.

• Myhometria.com may remove content, suspend, or terminate accounts that violate these Terms, in our reasonable discretion.

7. Background Checks and Safety Disclaimer

While Myhometria.com facilitates background checks through Checkr for Providers, a passed background check does not guarantee the safety, conduct, or quality of any Provider's services, nor the safety or conduct of any Client. You are solely responsible for exercising your own judgment when arranging and attending care sessions, including meeting in appropriate settings and reporting any safety concerns to us and, where appropriate, to law enforcement.

8. Independent Contractor Relationship

Providers are independent contractors, not employees, partners, or agents of Myhometria.com. Providers control the manner and means of the care services they provide, including their own rates (where applicable), schedule, and methods. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between Myhometria.com and any Provider or Client.

9. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding user-generated content), is owned by Hometria LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of content you submit (such as messages, reviews, and profile information), and you grant us a license to use it as necessary to operate and improve the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. MYHOMETRIA.COM DOES NOT WARRANT THE CONDUCT, QUALIFICATIONS, OR PERFORMANCE OF ANY PROVIDER OR CLIENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOMETRIA LLC AND ITS OFFICERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY CARE SESSION ARRANGED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MYHOMETRIA.COM IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Hometria LLC from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any care session or dispute between you and another user.

13. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights. Except for disputes that qualify for small claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual action in small claims court. You and Myhometria.com each waive the right to a jury trial and to participate in a class action or class arbitration.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where preempted by federal law. Subject to Section 13, the state and federal courts located in Texas will have exclusive jurisdiction over any dispute not subject to arbitration.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, poses a safety risk, or is harmful to other users or to Myhometria.com.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email before the change takes effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

• No Waiver: Our failure to enforce any right or provision will not be a waiver of that right or provision.

• Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
